The below steps are to be taken for registering a private limited company.
A DSC is issued by certifying authority, on application and submission of proof of identity, and address. DSC is necessary for all the directors and shareholders for signing the documents.
DIN is necessary for all the proposed directors. It
is obtained by submitting Form DIR-3 along with the proof of identity, address
and a passport sized photo.
Application is filed for reserving the name of the proposed company. Two names are to be proposed. The Ministry of Corporate Affairs (MCA) checks the name application and approves based on the various parameters.
The Memorandum of Association (MOA) and
Articles of Association (AOA) are prepared. MOA contains the company’s
objectives whereas AOA contains the internal rules and regulations.
The SPICe+ Form is to be filled for
applying for registering the company. Various information such as office
address, directors and shareholders, share capital and business activity etc.
are to be mentioned. Fee is to be paid along with the documentary evidence such
as PAN card, Adhaar card, office address proof etc.
On successful filing and approval of SPICe+
Form, the certificate of incorporation is issued along with PAN and TAN of the
company.
